Invite Your Friends

Accounts must be funded within 60 days of account opening and be initial funding deposit only. Deposited funds must remain active for a minimum of 2 months. Account value of the qualifying account must remain equal to, or greater than, the value after the net deposit was made (minus any losses due to trading or market volatility or margin debit balances) for 2 months, or TradeZero may charge the account for the cost of the offer at its sole discretion.

Terms and Conditions

These Terms and Conditions govern the TradeZero Refer a Friend Promotion (the “Promotion”) offered separately by the TradeZero Holding Corp. broker dealers, TradeZero America, Inc. (“TZA”), TradeZero, Inc. (“TZI”) and TradeZero Canada Securities ULC (“TZC”) (collectively referred to as “TradeZero”). Participation in the Promotion in any way whether as a referring account or referred account (“Participants” or “you”), constitutes your consent and agreement to be legally bound by these Terms and Conditions as may be updated by TradeZero in accordance with these terms.

Referral Process

This Promotion is available to two categories of TradeZero account holders:

1. A “Referring Account” is a current and active TradeZero account has no outstanding debits or balances owed to TradeZero.
2. A “Referred Account” is a new TradeZero account that (a) receives a Refer A Friend Invitation (defined below) and following its instructions, applies for and is approved to open a TradeZero Account, (b) funds their TradeZero account with an initial single deposit of at least $2,500 (USD) in immediately available funds (an “Eligible Deposit”) and (c) makes at least one trade.

To take part in the Promotion, a Referring Account must navigate to the “Refer A Friend” page on the applicable TradeZero broker client portal webpage and enter a third party’s contact information to generate refer a friend invitation (the “Refer A Friend Invitation”) to be sent to that third party. Subject to these Terms and Conditions, both the Referring Account and Referred Account will qualify to receive a Promotion Award (defined below) if the referred third party uses the Refer a Friend Invitation to open and fund a TradeZero account and makes at least one trade such that the third party meets the requirements of a Referred Account.

For TZA customers only, Automated Customer Account Transfers (“ACAT”) made to a TZA account may in whole or in part satisfy the Eligible Deposit requirement. Deposit/Withdrawal at Custodian (“DWAC”) and Direct Registration System Processing (“DRS”) transfers are not supported or accepted by TradeZero and will not count to satisfy the Eligible Deposit requirement. Multiple cash deposits cannot be combined to meet the requirements of an Eligible Deposit.

Refer a Friend Promotion Award

Subject to the Promotion terms, requirements, and restrictions provided herein, TradeZero will deposit $100 (USD) (the “Promotion Award”) into the TradeZero account of a Referred Account for opening a TradeZero account through a Refer A Friend Invitation, funding that TradeZero account with an Eligible Deposit, and completing at least one trade. Following the completion of a Referred Account’s Eligible Deposit and completed trade, TradeZero will also deposit a Promotion Award into the TradeZero account of the Referring Account that sent the Refer A Friend Invitation utilized by the Referred Account.

TradeZero shall deposit the Promotion Award for the Referring Account and the Referred Account within five business days following the Referred Account’s Eligible deposit and completion of at least one trade.

A Referring Account shall receive only one Promotion Award for each Referred Account, even if the Referred Account owner opens more than one TradeZero account. A Referred Account shall receive only one Promotion Award during the life of the account.

Promotion Period

The Promotion is available to eligible TradeZero account holders while the Promotion is active. Each TradeZero broker individually reserves the right, at its sole discretion, to modify or end the Promotion at any time and without prior notice.

Eligibility Requirements

Referring Accounts

Referring Accounts are prohibited from acting as a broker or dealer, as defined by U.S. securities regulation, and from having any involvement with the Referred Account and any other TradeZero account beyond the initial Refer A Friend Invitation. By participating in the Promotion, the Referring Account agrees that it will not do any of the following:

1. Help set up the Referred Account’s account.
2. Train a Referred Account to use any TradeZero trading platform or other system, solicit or place orders or have any other ongoing involvement in the Referred Account’s trading of its TradeZero account.
3. Act as a financial advisor or hold power of attorney or discretionary trading authority over a Referred Account’s TradeZero account.
4. Act as a point of contact between the Referred Account and TradeZero; or distribute advertising or marketing materials about TradeZero.

Referring Account will not hold itself out or pose as an employee or agent of TradeZero. Unless otherwise expressly agreed to with TradeZero, a Referring Account shall have no right to promote, advertise, market, or otherwise speak or communicate on behalf of TradeZero, whether in print, video, or any form of electronic communication including but not limited to social media.

Referred Accounts

A party that receives a Refer A Friend Invitation cannot participate in the Promotion as a Referred Account if it currently has, or in the last 6 months has had a TradeZero account. Following the Receipt of a Refer A Friend Invitation, a Participant and potential Referred Account must follow all of the instructions for applying for a TradeZero account including but not limited to the execution of all necessary customer agreements, privacy policies, exchange data agreements, and software licenses. TradeZero brokers may approve and open a Referred Account according to their own individual requirements, terms, and policies, which may vary by jurisdiction and may be revised at any time without notice. A Referred Account agrees to abide by all such requirements, terms, and policies of the applicable TradeZero broker.

Promotion Restrictions

This Promotion is not available in the Netherlands, Spain, Japan or Israel and any jurisdiction where TradeZero is not authorized to do business, where its products and services would be contrary to the laws, rules, and regulations governing the securities industries, or where otherwise prohibited by the local laws, rules, and regulations of any applicable jurisdiction.

This Promotion is not available to the following:

• Employees and agents of any US domestic or foreign financial institutions, including but not limited to banks, broker dealers, or financial advisors.
• Employees of any US domestic or foreign securities exchanges including but not limited to the NYSE, NYSE Arca Equities, NYSE American, and Nasdaq Stock Market.
• Employees, owners, agents, or consultants of TradeZero or any of their parent companies, affiliates, and subsidiaries.

Referring Accounts are limited to 48 Promotion Awards in a calendar year. No further Promotion Award will be given for any additional Referred Accounts in excess of 48 attributable to a Referring Account during that same calendar year.

A TZI or TZC Referring Account shall not receive a Promotion Award for any TZA Referred Account or for any TradeZero account holder who is citizen or visa holder of, or domiciled in, the United States.

Promotion Award Revocation and Cancellation

TradeZero will revoke or cancel any Promotion Award given to or due to any Participant if a Participant does not act or conduct itself in accordance with any of the requirements of the Promotion including the “Promotion Restrictions” detailed herein.

TradeZero will revoke or otherwise cancel any Promotion Award for both the Referring Account and Referred Account if, during the 90 day period following the Referred Account’s Eligible Deposit, the Referred Account completes a withdrawal from their TradeZero account that leaves the account balance below the level of the relevant Eligible Deposit.

Promotion Changes

TradeZero may change the terms of the Promotion in its sole discretion, including for legal, regulatory, or commercial reasons at any time and from time to time. The current Terms and Conditions are set forth on the relevant TradeZero broker website.

Responsibility for Taxes

Participants are solely responsible for any and all tax payment and reporting obligations that may arise as a result of participating in the Promotion, including for any Promotion Award. TradeZero its parent companies, their affiliates and subsidiaries (collectively, the “TradeZero Entities”) shall not be liable or responsible for any tax payments on behalf of the Participants. However, TradeZero reserves the right to withhold or report on any Promotion Award to the extent required by law.

Privacy Policy

Participants understand and agree that TradeZero will capture, use, and process personal data in accordance with the applicable TradeZero broker’s privacy policy as amended and incorporated in such TradeZero broker’s customer agreement. Apart from its use in this Promotion, TradeZero shall not capture, use, or process any personal data of a potential Referred Account until that party engages in the TradeZero onboarding process which is subject to the applicable TradeZero broker’s privacy policy.

Disputes

By participating in the Promotion, Participants agree that the maximum amount in controversy to be awarded in any dispute with the TradeZero Entities shall be the cash value of any disputed Promotion Award. All disputes arising out of or related to the Promotion shall be governed by the applicable TradeZero broker’s customer agreement as amended from time to time. Participants acknowledge that this Promotion includes by incorporation the pre-dispute arbitration clause included in the applicable TradeZero broker customer agreement.
